1 Acceptance of Terms

By engaging Qloudsoft Solutions for digital marketing services, Meta/Google ad retainers, web design, or custom CRM software development, or by making payments via our official UPI / bank channels, you agree to be bound by these Terms and Conditions.

2 Scope of Work & Deliverables

Qloudsoft provides services based on agreed scope of work documented in client proposals, invoices, or service catalogs:

• Digital Advertising: Management of ad campaigns on Meta (Facebook/Instagram) and Google Ads. Ad spend budgets are paid directly by the client to ad platforms or disbursed transparently as agreed.
• Content & Creative Assets: On-location shoots across Mumbai, Thane, Navi Mumbai, and Palghar, static graphics, reels, and video ad edits are subject to our 2-tier internal QA review before publishing.
• Software & Web Development: Custom software, CRMs, and website deliverables follow structured milestones: Wireframing, UI/UX Design, Development, Staging Review, and Final Production Deployment.

3 Payment Terms & Invoicing

Retainer services are billed on a fixed monthly basis. Custom development projects require advance milestone disbursements as specified in the project quotation. Payments must be remitted via bank transfer or official company UPI (7028080352@okbizaxis). All fees are subject to 18% GST (GSTIN: 27BYVPH3829L1ZN).

4 Intellectual Property & Code Ownership

Upon receipt of full payment, all custom code, deployed websites, final approved video edits, and ad graphics developed exclusively for the client are assigned to the client. Pre-existing proprietary libraries, frameworks, or multi-tenant SaaS modules remain the intellectual property of Qloudsoft Solutions.

5 Limitation of Liability & Jurisdiction

While Qloudsoft applies industry best practices, ROI frameworks, and rigorous 2-tier QA, digital advertising performance is subject to external platform algorithm shifts and third-party auction dynamics. Qloudsoft shall not be held liable for indirect or consequential damages. Any legal disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Palghar / Mumbai, Maharashtra.
